Bitcoin’s Fast Lane for Restricted Business

Our Business Model

SatsPay Financial Services Co. LLC (“SatsPay”) is a Bitcoin-only payment platform that enables merchants and customers to send and receive instant Bitcoin payments via the Lightning Network and on-chain Bitcoin transactions.
We provide invoicing, routing, and proof-of-payment reporting tools.


SatsPay never holds customer funds, private keys, or fiat currency.


All transactions move directly from payer to payee — peer-to-peer, in Bitcoin only.

Our mission is to provide a secure, transparent payment infrastructure for nightlife, lifestyle, and other businesses that traditional processors often exclude.

Regulatory Classification Statement

SatsPay operates as a software service provider, not a money transmitter or financial institution.

​

Under the FinCEN Guidance on Convertible Virtual Currency (FIN-2019-G001) and prior interpretations (FIN-2014-R001):

​

  • SatsPay does not convert Bitcoin to or from fiat currency.

  • SatsPay does not receive or transmit money or monetary value for others.

  • Payments are completed directly between customers and merchants.

 

Accordingly, SatsPay is not required to register as a Money Services Business (MSB) with FinCEN and is not subject to state money-transmitter licensing.

Future custodial functionality (Phase 2 – SatsPay Accounts) will be implemented only through licensed institutional partners such as BitGo Trust Company or Fireblocks, with all balances held in segregated Bitcoin sub-wallets under their existing trust and regulatory frameworks.

SatsPay will maintain this non-custodial structure unless and until a licensed custodian relationship is formally executed.

Compliance Practices

Even though SatsPay is exempt from MSB registration, we voluntarily adhere to recognized AML, KYC, and KYT standards, including:

​

  • Verification of all merchants and business accounts.

  • Transaction-monitoring and risk scoring to detect suspicious activity.

  • Record retention consistent with FinCEN recommendations.

  • Immediate cooperation with lawful information requests from authorities.

  • Prohibited-use policy restricting illegal activity or sanctioned jurisdictions.

 

These safeguards allow merchants and customers to transact with confidence while maintaining Bitcoin’s privacy and security advantages.

  • All payments processed through SatsPay are Bitcoin transactions and are final, non-reversible, and non-refundable once confirmed.

  • Merchants determine their own refund and pricing policies.

  • SatsPay provides technology only and is not a bank or custodian.

  • Users agree to comply with applicable laws, including AML and data-protection regulations.

  • SatsPay may suspend service for fraudulent, abusive, or unlawful use.
